Terms of Service

Effective date: July 1, 2026

These Terms govern your access to and use of CMDBLD. Please read them carefully. This page is provided for general information and is not legal advice.

1. Acceptance of Terms

By accessing or using CMDBLD (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and by our Privacy Policy and Cookie Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

CMDBLD is a cloud-based construction management platform that provides tools for estimating and takeoff, project management, scheduling, field operations, subcontractor and vendor management, accounting and payroll, compliance, CRM, marketing, and related features. Features vary by subscription tier and may be added, changed, or removed over time.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information, promptly update it, and notify us of any unauthorized use. You are responsible for the acts and omissions of users, subcontractors, and vendors you invite into your workspace.

4. Subscriptions, Billing, and Trials

Paid plans are billed monthly or annually in advance based on the tier you select. Free trials, where offered, convert to a paid plan only if you choose to subscribe. Except where required by law or expressly stated in writing, fees are non-refundable. Promotional offers (including the Loyalty Program vehicle-wrap benefit) are governed by their own posted terms, which are incorporated here by reference. We may change pricing on renewal with reasonable notice; annual members on an active price-lock benefit are honored per that benefit’s terms.

5. Acceptable Use

You agree not to use the Service to violate any law or regulation, infringe intellectual-property or privacy rights, upload malware, attempt to gain unauthorized access, resell or sublicense the Service without authorization, or interfere with its operation or security. You further agree not to: (a) copy, reproduce, republish, frame, mirror, or create derivative works of the Service, its software, user interface, designs, or content; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, AI prompts, or data models of the Service, except to the limited extent this restriction is prohibited by applicable law; (c) access, search, or index the Service by any automated means (scraping, crawling, harvesting, spiders, or bots) or extract data in bulk; (d) circumvent or probe rate limits, access controls, CAPTCHAs, or other technical protection measures; (e) use the Service, or any information, output, or know-how obtained from it, to build, train, benchmark, or market a competing product or service; or (f) remove, obscure, or alter any copyright, trademark, or other proprietary notice. We may suspend or terminate access for conduct that we reasonably believe violates these Terms or creates risk for other users, and may pursue any available legal and equitable remedies.

6. Your Data

You retain ownership of the data, documents, drawings, and content you upload (“Customer Data”). You grant CMDBLD a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for having the rights to upload your Customer Data. Our handling of personal information is described in our Privacy Policy.

7. AI Features and Estimates

CMDBLD includes AI-assisted features such as plan reading, takeoff, estimating, and drafting. AI output is a starting point that may contain errors or omissions and must be reviewed and verified by a qualified professional before you rely on it. CMDBLD does not guarantee the accuracy, code-compliance, or completeness of any AI-generated estimate, quantity, citation, or document, and is not liable for decisions made in reliance on them.

8. Third-Party Services

The Service integrates with third parties (for example, payment processing, banking connections, and messaging providers). Your use of those integrations is subject to the third party’s own terms, and CMDBLD is not responsible for their acts, omissions, or availability.

9. Intellectual Property

CMDBLD and all of its software, source code, user interface, designs, workflows, documentation, AI prompts and models, and cost benchmarks are the exclusive property of CMDBLD, Inc. and are protected by copyright, trademark, trade-secret, patent, and other laws. “CMDBLD” and the CMDBLD logo are trademarks of CMDBLD, Inc.; you may not use them without our prior written permission. We grant you only a limited, revocable, non-exclusive, non-transferable right to use the Service per these Terms — no other license or right is transferred, and all rights are reserved. 10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CMDBLD does not provide legal, accounting, tax, or engineering advice; the Service is a tool, not a substitute for a licensed professional. Payroll: CMDBLD calculates payroll figures (gross-to-net, withholding estimates, pay stubs, job costing, and W-2 data) for your review; it is not a payroll processor and does not move funds or file tax returns. Direct deposit and tax filings (e.g., 941/940, W-2) are performed by the third-party licensed payroll provider you connect, or by you or your CPA. You are responsible for verifying all amounts, registrations, and filings and for compliance with applicable federal, state, and local tax and employment laws.

11. Limitation of Liability

To the maximum extent permitted by law, CMDBLD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. CMDBLD’s total liability arising out of or relating to the Service will not exceed the amount you paid to CMDBLD in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless CMDBLD and its officers, employees, and agents from any claims, damages, or expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may cancel at any time; cancellation stops future renewals but does not entitle you to a refund of prepaid fees except as stated in Section 4. We may suspend or terminate access for material breach. On termination you may export your Customer Data for a reasonable period, after which we may delete it in the ordinary course.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date, and your continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which CMDBLD, Inc. is organized, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the courts located there.
